This SMS Compliance Disclaimer & Usage Rights Agreement (“Agreement”) applies to all clients (“Client,” “you,” “your”) who use Qivonah AI LLC (“Qivonah,” “we,” “our,” “us”) for SMS, MMS, or automated communication services.

By using Qivonah AI’s systems, you agree to the terms below.

1. Qivonah AI Is a Technology Provider — Not the Sender of Record

Qivonah AI provides:

  • Automation tools

  • Messaging workflows

  • AI‑generated scripts

  • SMS delivery infrastructure (via third‑party carriers)

However:

You, the Client, are the legal “Sender of Record” for all messages sent through Qivonah AI systems.

This means:

  • You are responsible for compliance

  • You are responsible for consent

  • You are responsible for message content

  • You are responsible for all legal obligations under TCPA, CTIA, and carrier rules

Qivonah AI is not responsible for any violations arising from your outreach.

2. Client Confirms They Have Proper Consent

By using Qivonah AI, you confirm that:

  • You have obtained proper consent to contact all leads

  • You will not upload purchased lists without verifying compliance

  • You will not upload data obtained illegally or without permission

  • You will not contact individuals who have opted out

  • You will maintain your own internal Do‑Not‑Contact (DNC) list

You agree that all liability for consent rests solely with you.

3. Prohibited Messaging

You agree not to use Qivonah AI systems for:

  • Unsolicited promotional SMS

  • Spam or mass‑blasting

  • Deceptive or misleading content

  • Harassment or abuse

  • Illegal, fraudulent, or harmful activity

  • SHAFT content (Sex, Hate, Alcohol, Firearms, Tobacco)

  • Political messaging without proper registration

  • Emergency alerts without authorization

Violation may result in immediate termination.

4. Compliance With Laws & Carrier Rules

You agree to comply with:

  • TCPA (Telephone Consumer Protection Act)

  • CTIA Messaging Principles

  • CAN‑SPAM Act

  • FCC regulations

  • State‑level privacy laws

  • Carrier‑specific rules

  • 10DLC registration requirements

Qivonah AI does not guarantee message deliverability or carrier approval.

5. AI‑Generated Messaging Disclaimer

Qivonah AI may generate:

  • SMS scripts

  • Follow‑up messages

  • Outreach templates

  • Automated responses

You acknowledge that:

  • AI‑generated content may contain errors

  • You are responsible for reviewing and approving all content

  • Qivonah AI is not liable for damages caused by AI‑generated messages

6. Usage Rights & License

Qivonah AI grants you a non‑exclusive, non‑transferable license to use:

  • Messaging workflows

  • Automations

  • Scripts

  • Templates

  • AI‑generated content

You may not:

  • Resell

  • Reproduce

  • Reverse engineer

  • White‑label

  • Distribute

  • Claim ownership of Qivonah AI systems

All intellectual property remains owned by Qivonah AI.

7. Data Handling & Privacy

You agree that:

  • You are responsible for the data you upload

  • You have the right to process the data

  • You will not upload sensitive or protected data

  • You will comply with all privacy laws (GDPR, CCPA, etc.)

Qivonah AI processes data only as a processor, not a controller.

8. Message Deliverability Disclaimer

Qivonah AI does not guarantee:

  • Delivery of all messages

  • Carrier acceptance

  • Avoidance of spam filters

  • Response rates

  • Lead quality

  • Business outcomes

Carrier filtering is outside our control.

9. Liability Limitation

To the fullest extent permitted by law:

  • Qivonah AI is not liable for fines, penalties, or damages arising from your outreach

  • Qivonah AI is not liable for TCPA violations

  • Qivonah AI is not liable for carrier shutdowns

  • Qivonah AI’s total liability is limited to the amount paid in the last 30 days

You agree to indemnify Qivonah AI against any claims arising from:

  • Your data

  • Your outreach

  • Your messaging content

  • Your legal violations

10. Termination

Qivonah AI may suspend or terminate your access if:

  • You violate compliance rules

  • You upload non‑consented data

  • You engage in spam or illegal outreach

  • You misuse the platform

  • You fail to pay for services

No refunds are issued upon termination.

2. Not Included (Unless Purchased Separately)

  • Lead list sourcing (unless paid for)

  • Website development

  • Branding or design work

  • Sales training

  • Appointment setting

  • Long‑term data storage

  • Unlimited revisions

3. Revisions

  • Up to 2 rounds of revisions included

  • Additional revisions billed at hourly or project rate

4. Client Deliverables

Client must provide:

  • Accurate data

5. Timeline

  • Standard setup: 3–10 business days

ACCEPTABLE USE POLICY (AUP)

1. Prohibited Uses

Client may NOT use Qivonah AI for:

  • Spam or mass‑blasting

  • Harassment or abuse

  • Fraud or deception

  • Political messaging (without registration)

  • SHAFT content (Sex, Hate, Alcohol, Firearms, Tobacco)

  • Scams or misleading offers

  • Data scraping

  • Sending messages without consent

  • Bypassing carrier rules

  • Uploading illegal or sensitive data

2. System Misuse

Client may NOT:

  • Reverse engineer Qivonah AI systems

  • Modify workflows without approval

  • Share access with unauthorized users

  • Attempt to overload or exploit the system

  • Use Qivonah AI for high‑risk industries without approval

3. Compliance Requirements

Client must comply with:

  • TCPA

  • CTIA

  • CAN‑SPAM

  • GDPR

  • CCPA

  • Carrier rules

  • Federal and state laws

4. Enforcement

Violations may result in:

  • Suspension

  • Termination

  • Legal action

  • Reporting to carriers

  • Loss of access

  • No refunds

5. Acceptance

By using Qivonah AI, Client agrees to this AUP.

LICENSING & USAGE RIGHTS

This Licensing & Usage Rights Policy (“Policy”) explains how Qivonah AI LLC (“Qivonah,” “we,” “our,” or “us”) licenses its automation systems, workflows, AI prompts, templates, and digital assets to clients (“Client,” “you,” or “your”).

By using our services, you agree to the licensing terms below.

1. License Type

All Qivonah AI systems, automations, workflows, prompts, templates, and digital assets are provided under a:

Non‑exclusive, non‑transferable, revocable license.

This means:

  • You may use the systems we build for your business

  • You may not claim ownership

  • You may not resell, copy, or distribute them

  • You may not transfer them to another business or contractor

  • You may not reverse engineer or recreate them for commercial use

Qivonah AI retains full ownership of all intellectual property.

2. What You Are Licensed to Use

Your license includes:

  • Automation workflows

  • AI‑powered messaging systems

  • CRM integrations

  • SMS/email templates

  • Follow‑up sequences

  • Lead management pipelines

  • Custom scripts and prompts

  • Dashboard views

  • Internal tools created for your account

You may use these assets only for your own business operations.

3. What Is NOT Included in Your License

You may not:

  • Copy or recreate Qivonah AI systems

  • Sell or resell any part of our automations

  • Share our workflows with other agents, teams, or companies

  • Provide access to competitors or third parties

  • Use our systems to build your own automation service

  • Export or replicate our prompts, logic, or architecture

  • Claim ownership of any Qivonah AI intellectual property

Doing so violates this Policy and may result in legal action.

4. Ownership of Intellectual Property

Qivonah AI retains exclusive ownership of:

  • All automation architecture

  • All workflows and logic

  • All AI prompts and templates

  • All scripts and sequences

  • All proprietary methods

  • All system designs

  • All documentation

  • All training materials

  • All custom integrations

  • All enhancements and updates

Client receives usage rights, not ownership.

5. License Duration

Your license remains active as long as:

  • Your subscription is active

  • Your account is in good standing

  • You comply with all Qivonah AI policies

If your subscription ends or is terminated:

  • Your license is revoked

  • Access to systems may be disabled

  • Workflows may be removed or deactivated

  • You may no longer use Qivonah AI intellectual property

No refunds are issued upon license termination.

6. Restrictions on Sharing & Distribution

You may not share Qivonah AI systems with:

  • Other agents

  • Teams

  • Brokerages

  • Contractors

  • Developers

  • Competing automation companies

  • White‑label partners

  • Any third party not approved by Qivonah AI

Unauthorized sharing is strictly prohibited.

7. White‑Label & Reseller Licensing

If you wish to:

  • Resell Qivonah AI systems

  • White‑label our automations

  • Offer our workflows under your brand

  • Build a partnership or affiliate model

You must obtain a separate written licensing agreement from Qivonah AI.

Unauthorized reselling is prohibited.

8. Compliance With Laws

Client agrees to use Qivonah AI systems in compliance with:

  • TCPA

  • CAN‑SPAM

  • CTIA

  • GDPR

  • CCPA

  • State real estate advertising laws

  • MLS rules

  • Carrier regulations

Qivonah AI is not liable for misuse or illegal outreach.

9. Violations & Enforcement

Violations of this Policy may result in:

  • Immediate termination of access

  • Revocation of license

  • Legal action

  • Damages and recovery costs

  • Reporting to relevant platforms or authorities

Qivonah AI reserves all rights to protect its intellectual property.
